These terms apply to the Mauby website and platform, provided by Mauby Software Inc. (incorporation pending) ("Mauby", "we", "us"). Customers that sign an order form or pilot agreement with us are also bound by that agreement; where the two differ, the signed agreement wins.
Accounts
Mauby accounts are offered to businesses by agreement; there is no public sign-up. The business that holds the agreement (the customer) decides who joins its workspace and is responsible for their use of it. You must keep your sign-in email secure and tell us promptly if you think someone else has used your account.
Acceptable use
You agree not to:
- upload content you do not have the right to share, or that breaks the law;
- try to reach another customer's workspace, test or bypass our security, or disrupt the service;
- copy, resell or build a competing product from the service, or reverse engineer it except where the law allows;
- use the service to send spam or malicious code.
We may suspend access that puts the service or other customers at risk, and will tell the customer why.
Your content
The customer owns the documents and data it puts into Mauby. The customer gives us permission to host, copy and process that content only as needed to provide and support the service. We handle personal information as described in our Privacy Policy.
AI suggestions and numbers
Some features suggest requirements or calculate costs from what you enter. Suggestions can be wrong or incomplete, and calculations are only as good as their inputs. You are responsible for reviewing them and for any bid, price, contract or decision you make. Mauby is not legal, financial or professional advice.
Our property
We own the Mauby software, design and brand. Apart from the right to use the service under these terms and your agreement, nothing gives you rights in them. If you send us feedback, we may use it without obligation to you.
Fees
Fees, the subscription or pilot term and payment terms are set out in the customer's signed agreement. Prices are in Canadian dollars and exclude applicable taxes unless stated otherwise.
Availability and changes
Mauby is early-stage software. We work to keep it available and secure, but we do not promise it will be uninterrupted or error-free unless a signed agreement says so. We may change or improve features; we will give reasonable notice before removing anything a customer relies on.
Disclaimer
Except as stated in a signed agreement, the service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose, to the extent the law allows.
Limitation of liability
To the extent the law allows, neither party is liable for indirect, consequential or lost-profit damages, and our total liability for any claim is limited to the fees the customer paid us in the 12 months before the claim arose. These limits do not apply to a party's fraud or wilful misconduct.
Ending use
You may stop using Mauby at any time. When a customer's agreement ends, we will make its content available for export for 30 days and then delete it, unless the law requires us to keep it.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction.
Changes and contact
We may update these terms by posting a new version here with a new date. Significant changes will be sent to customers by email before they take effect. Questions: hello@getmauby.com.
